Does a holding protect your assets? It does when it is set up the right way

A holding separates the family assets from the risks of the business and organizes succession. It does not serve to hide assets from creditors. The law and the STJ (Brazil's Superior Court of Justice) show where the protection lies and where it ends.

Asset separation

What the law guarantees

A legal entity is distinct from its partners (Civil Code, art. 49-A). Piercing the corporate veil (desconsideração da personalidade jurídica) is only allowed in case of abuse, shown by misuse of purpose or by commingling of assets (art. 50). The same article states that the existence of an economic group, on its own, is not enough (§ 4º).

In October 2026, the Second Section of the STJ held that veil piercing requires effective proof of abuse, and that the mere absence of attachable assets is insufficient (Tema 1.210, REsp 1.873.187 and REsp 1.873.811).

Limits

When the protection does not work

Misuse of purpose is the use of the company with the aim of harming creditors (art. 50, § 1º). Commingling of assets includes the transfer of assets without effective consideration (§ 2º). These rules also apply to reverse veil piercing, which reaches the company for a debt of the partner (§ 3º; CPC, the Code of Civil Procedure, art. 133, § 2º). Once veil piercing is granted, a transfer made in fraud of enforcement is ineffective against the creditor (CPC, art. 137).

The STJ accepts reverse veil piercing when a partner transfers assets to the company to defraud the division of marital property (REsp 1.236.916/RS). For this reason, a holding created after debts arise, or only to empty out the estate, runs the risk of being disregarded.

Family home

Company property where the family lives

The STJ recognizes that a company property used as a partner's home cannot be seized (bem de família), even when pledged as collateral (REsp 1.935.563/SP). In a family company whose partners live in the property, if there is commingling of assets, partial veil piercing is allowed up to the market value of the protected property (REsp 1.514.567/SP).

Common questions

Frequently asked questions

Does a holding shield assets against any debt?

No. When there is abuse, misuse of purpose or commingling of assets, the judge may pierce the corporate veil.

Can I set up a holding when I already have debts?

Transferring assets while debts are pending may be seen as fraud. Each case needs a review before any step.

Does the debtor's lack of assets allow creditors to reach the holding?

For the STJ, the mere absence of attachable assets is not enough. Abuse must be proven (Tema 1.210).

Do you serve clients outside Goiás?

Yes. Service is online for the whole country and also for Brazilians who live abroad.

How much does it cost?

After the review, the firm sends a written fee proposal, before any engagement.

Piercing the corporate veil
